License Agreement: 2024 Alabama REALTORS® Forms
This License Agreement (“Agreement”) is a legal agreement between you (“User”) and the Alabama Association of REALTORS®, Inc. (“AAR”) setting forth the terms and conditions by which the 2024 Alabama REALTORS® Forms (“Forms”) must be used. By printing, downloading, or using these Forms in any way, wholly or partially, you agree to be bound by the terms and conditions set forth in this Agreement. This Agreement contains the complete terms and conditions between AAR and User for the use of the Forms by User. Use of the Forms in any way is predicated upon agreement to and compliance with the terms in this Agreement. Failure to abide by the terms of this Agreement may result in the suspension or revocation of the License Rights granted to User by this Agreement and may subject User to legal sanctions and claims as set forth below.
- Grant and Terms of License: AAR grants and User accepts a non-transferable, non-exclusive license to use the Forms pursuant to the terms and conditions in this Agreement. The Forms shall only be used by User for the operation of User’s business as a real estate licensee.
- User agrees that the License granted by this Agreement is limited to the 2024 release of the Forms, including any amendments thereto. User agrees not to use the Forms upon issuance of the 2025 release of the Forms. The release year is clearly marked on the individual Forms.
- User agrees to use any revised or amended Forms, except you may continue to use a Form if it is already in use in a specific real estate transaction. A release date of revised or amended Forms will be marked clearly on the lower right-hand corner of the Form.
- As of January 1, 2024, the license granted to use printings of any earlier dated Forms shall be permanently revoked. All printed or electronic versions of the earlier dated Forms shall be destroyed.
- User hereby agrees to indemnify and hold AAR harmless from any and all damages or costs that may result from a revocation of User’s license under this Agreement.
- User may only use AAR forms if User is an Authorized User. An Authorized User is any of the following persons, who have also agreed to this Agreement: 1) an individual who is an AAR REALTOR® Member; 2) an individual who is a real estate licensee and who has applied for, paid for and received temporary permissions to use Forms from AAR; or (3) an individual otherwise approved in writing by AAR to be an Authorized User.
- Authorized Users shall only be permitted to use AAR Forms for real estate transactions that User is involved in as a real estate licensee. The AAR Forms are copyrighted, and unauthorized use of AAR Forms may result in legal sanctions against the User and shall be reported to AAR.
- Unless an attorney is also a real estate licensee, the attorney cannot use any Form in a real estate transaction in which the attorney is not acting as the real estate licensee nor provide any AAR form to a third party for their use.
- It is a violation of this Agreement for User to provide any AAR Form to a third party except as part of a real estate transaction in which the User is involved as a licensee or as otherwise provided herein. In all cases where any Form is provided to a third party, the User is responsible for ensuring that the third party strictly complies with all terms and conditions of this Agreement.
- It will be a violation of this Agreement for a User to cover up or remove the footer appearing on the bottom of each page of the Forms.
- It shall be a violation of this Agreement for a User to provide his or her NRDS number to a third party or permit a third party to access and use the Forms by entering the login of the User.
- It will be a violation of this Agreement for a User to post the Forms on a website which may be accessed by members of the public or by any person who is not a User. However, it is not a violation if the Forms are posted on a website which may be accessed by the parties in a specific real estate transaction and other persons involved in providing professional or administrative services in the transaction.
- It shall be a violation for User to allow an affiliated licensee of the User or a licensed real estate assistant of the User to use the Forms in real estate transactions in which the licensed assistant, affiliated licensee, or real estate assistant have not first become an Authorized User as that term is defined herein.
- It will not be a violation of this Agreement for sample copies of the AAR Forms to be used and distributed for educational purposes in a classroom, in person or virtually, provided that all Forms so used have a clear, conspicuous disclosure that the forms are “For Educational Purposes Only.”
- Notwithstanding any provision to the contrary contained herein, nothing shall prohibit a User from using administrative, support, or information technology assistants (hereinafter “Support Personnel”) from providing such assistance to the User, including accessing the Forms in the name of the User provided that such use is limited to transactions in which the User is a real estate licensee and the Support Personnel are not otherwise involved in the transaction as a real estate licensee. Such limited use by Support Personnel shall not be a violation of this Agreement.
- Ownership of the Forms
- AAR shall retain sole title to, copyright in, full ownership and other intellectual property rights of the Forms and all parts and subsequent copies thereof, regardless of the media or form in which the original and other copies may exist. AAR reserves all rights not expressly granted herein. AAR is deemed the exclusive owner of the Forms and of all rights therein, whether any portion thereof is or may be validly copyrighted or similarly protected. The license granted herein does not constitute a sale of the copyright of the Forms or give User any ownership interest in the Forms.
- The Forms are copyrighted and owned by AAR and protected by federal copyright laws. Unauthorized copying other than as set forth below is expressly prohibited. You may be held legally responsibly for any copyright infringement that is caused or encouraged by your failure to abide by terms of this Agreement. Except as set forth below, neither the Forms nor any portion or version thereof may be amended, reverse engineered, used to create derivative works, modified, copied, de-compiled, disassembled, reprinted, duplicated, adapted, altered or recreated, directly or indirectly, in whole or in part, without the express prior written consent of AAR.
- Except as otherwise provided herein, User is expressly prohibited from sharing, distributing, selling or disseminating the Forms or any reproduction thereof. User may customize the Forms with User’s company information, including, but not limited to, the company’s name, address, telephone number, MLS number or logo. However, User will not be permitted to alter any preprinted matter contained in the Forms, and User may not remove or modify in any way the AAR logo, trademark, release date or copyright information.
- Warranty
- The Forms are provided “as is” without any express or implied representations or warranties of any kind. AAR disclaims any implied warranties of merchantability or fitness for a particular purpose. AAR does not guarantee that the Forms will meet User’s requirements, are error-free, lack viruses, or will always comply with all applicable local, state, and federal laws. User assumes full responsibility for the proper use of Forms.
- Neither AAR nor any of its agents, employees, officers, directors, members, successors or assigns shall have any liability to the User or any other person for any claim, loss, or damage of any kind or nature whatsoever arising out of or in connection with the deficiency or inadequacy of the Forms for any purpose, whether or not known or disclosed to AAR.
- The Forms are not a substitute for the User’s independent professional judgment as to the appropriateness of the Forms in User’s specific situation. The Forms do not constitute legal or professional real estate advice and should be reviewed in full and in advance by legal counsel for User or for the parties involved in the real estate transaction in which they are used. Permission for such a review by counsel is hereby granted by AAR.
- Confidentiality: User acknowledges that the Forms consist of commercially valuable proprietary rights and trade secrets of AAR. User acknowledges that the Forms contain confidential and proprietary information of AAR that have been disclosed to User on a confidential basis. User hereby covenants and agrees that during the term of this Agreement and for all times thereafter that User will not publish, disclose, divulge, sell, assign, give or otherwise transfer or release, any confidential or proprietary information of AAR or the Forms, in whole or in part, alone or in combination with any other information to any person for its own benefit or the benefit of any person other than AAR.
- General Provisions: The use of the Forms is licensed only to you as User, and except as specifically provided for herein, may not be transferred to anyone without prior written consent. Neither this Agreement nor any part or portion hereof shall be assigned, sublicensed or otherwise transferred by User. This Agreement shall be governed by the laws of the state of Alabama. Individuals who are not licensed by the Alabama Real Estate Commission (AREC) to sell real estate shall not be permitted to purchase or use these forms except with the express prior written approval of AAR, except that: AREC approved schools may purchase and use the Forms as long as it is clearly disclosed on each page of the Forms, “For Educational Purposes Only.”
- Violations: In the event User violates this Agreement, User shall be subject to the following sanctions and penalties:
- AAR may terminate or suspend the User’s right to use the Forms without refund of any amounts paid by User to purchase Forms; and/or
- AAR may pursue any claim or cause of action against the User, civil or criminal, in law or in equity, arising out of or relating to such violation.
